Terms of Service

Next Wave Beverage · Website and Caseflow ordering service

1. About these terms

These terms govern your use of nextwavebev.com, its inquiry forms, and the Caseflow ordering service provided for Next Wave Beverage ("we," "us," or "our"). By using the service, you agree to these terms. If you use the service for a business, you represent that you are authorized to act for that business.

Next Wave Beverage is the seller identified on the storefront. Caseflow is the software supporting the service and is not identified as the seller. A separately accepted written agreement or order-specific term controls over these general terms where they conflict. Nothing here limits rights that applicable law does not allow us to waive.

2. Eligibility and account access

The ordering service is intended for adults acting for businesses. You must provide accurate account, business, tax-exemption, and delivery information and keep it current. Access to business information, pricing, purchasing, and administrative functions depends on the permissions and approvals applicable to your account and organization.

Using Google sign-in verifies identity; it does not guarantee business approval, purchasing eligibility, or access to a particular organization. You are responsible for maintaining the security of your account and for activity you authorize through it. Notify us promptly if you suspect unauthorized access.

3. Permitted use

You may use the service for legitimate inquiries, account administration, and authorized business ordering. You must not use it unlawfully, submit false business or resale information, impersonate another person, access another organization's information without permission, bypass security or approval controls, introduce malicious code, or interfere with the service. Do not scrape protected information or use the service to infringe another person's rights.

4. Products, pricing, and orders

Product listings and availability may change. Product images are illustrative; the product description, SKU, package size, quantity, and terms displayed for your order identify what you are requesting. Review the order summary, delivery details, and applicable charges before submission.

Submitting an order is a request to purchase. An automated receipt or payment-processing status is not, by itself, confirmation that goods have shipped or been delivered. Order acceptance, fulfillment, payment status, and shipment status are separate. We may contact you to address availability, eligibility, pricing errors, payment issues, or other order problems. Material changes to an order require your agreement where applicable.

Taxes, freight, and other charges are those disclosed for the transaction or in an applicable agreement. Payment methods and any credit terms are available only where offered and approved. Do not assume credit approval from having an account. A pending bank payment is not confirmation of final settlement.

5. Delivery, cancellations, and product issues

Products may ship directly from suppliers or fulfillment partners. Any displayed delivery estimate is an estimate unless an express written commitment states otherwise. You are responsible for providing a valid delivery location, appropriate receiving arrangements, and accurate contact information.

Contact us promptly about a requested cancellation, incorrect or damaged goods, shortage, or delivery problem. Cancellation and return availability depends on the order's stage, product condition, any order-specific terms, and applicable law. These website terms do not create an automatic return period, restocking charge, or blanket no-refund rule. Refunds, replacements, and other remedies will be handled under the applicable transaction terms and legal requirements.

6. Consulting and event inquiries

Submitting an inquiry does not reserve a date, create an engagement, or confirm a price. Consulting, event planning, logistics, or other professional services require a separately agreed scope and commercial terms. Do not rely on website descriptions as a commitment to perform a particular project.

7. Content and intellectual property

The service's text, branding, design, and software are protected by applicable intellectual-property laws. Product and third-party names belong to their respective owners. You receive permission to use the service for its intended purpose, not ownership of its content or software.

You retain your rights in information you submit. You grant us permission to use that information as reasonably necessary to operate the service, respond to your request, administer your account, process and fulfill orders, and comply with applicable obligations. You must have the right to provide it.

8. Privacy and third-party services

Our Privacy Policy explains our handling of personal information, including Google sign-in data. Authentication, payments, and other features may rely on third-party providers. Your direct use of a third-party service may be governed by its own terms and privacy policy. External links do not mean we control or endorse all content on those sites.

9. Availability and responsibility

We work to keep the service accurate and available, but it may be interrupted for maintenance, technical problems, or circumstances outside our reasonable control. To the extent permitted by law, the website and software are provided "as is" and "as available," without a promise of uninterrupted or error-free operation. This does not replace express product warranties, separately agreed obligations, or rights that cannot lawfully be excluded.

To the extent permitted by law, we are not liable for indirect or consequential losses arising from use of the website or software. This provision does not exclude liability where such exclusion is prohibited, or override an applicable written agreement. No fixed damages cap, mandatory arbitration requirement, or class-action waiver is imposed by these terms.

10. Suspension and ending access

We may restrict or suspend access where reasonably necessary to address unauthorized activity, misuse, security risk, loss of business eligibility, nonpayment under applicable terms, or legal requirements. Where appropriate and practicable, we will provide notice and an opportunity to address the issue. Ending access does not automatically cancel accepted orders, erase payment obligations, or delete records that must be retained. Contact us to request account closure.

11. Changes, disputes, and contact

We may update these terms as the service changes. The published version will show its effective or last-updated date, and we will provide additional notice where legally required. Changes will not retroactively alter an accepted order without an appropriate legal basis or agreement.

Please contact us first about concerns so we can try to resolve them. Applicable law and any separately accepted agreement govern disputes; these terms do not require an exclusive forum or waive non-waivable rights. If one provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law.
